GREENMAIL AS A TYPE OF MENTAL VIOLENCE: THE PROBLEM OF COORDINATION OF CONCEPTS

There is no consensus in the literature on the possibility of attributing greenmail to types of mental violence due to inadequate coordination of these concepts. On the one hand, corporate blackmail is now included in the objective side of a number of crimes as a type of mental violence [1], and above we have already paid attention to certain features of blackmail that allow us to consider it as a threat of a special kind and content. On the other hand, in the modern world, the understanding of blackmail as a special tool of mental pressure is constantly expanding. From this point of view, some authors propose the introduction of criminal liability for corporate blackmail (greenmail) [2]. Greenmail is characterized by the deployment of a corporate conflict according to a certain strategic plan, in which, through the threat of harm (a drop in the value of a share in a limited liability company or the value of shares in a joint-stock company, removal from the "levers" of corporate management, etc.) or its actual infliction, the victim is prompted to pay remuneration for the termination of such actions by the greenmailer in the form of the purchase of certain rights at an inflated price, or payment of remuneration for the waiver of claims, or the provision of such benefits, which cannot be legally obtained under the existing conditions of economic turnover [3].  

However, greenmail is rather unfriendly actions [4] and a form of abuse of law [5]. The authors are not yet able to accurately determine its public danger [6]. The understanding of the public danger of greenmail proposed by individual scientists as creating a threat to the freedom of economic activity associated with surmountable mental coercion towards a specific person or group of people in order for the latter to commit economically significant actions towards the perpetrator or third parties is hardly meaningful and informative, since such a broad definition can, for example, include many forms of competition and entrepreneurial activity.

In our opinion, in practice, countering greenmail is quite possible and sufficient in forms involving civil sanctions due to abuse of law, its criminalization will significantly complicate civil turnover and create barriers to the control of minority participants of corporations (shareholders) over the management of the corporation.
